STBPT Management takes direction from the General Meeting and the Advisory Board and implements STBPT strategy with leadership by the Executive Director. The Executive Director, the sole executive body of STBPT, manages STBPT and exercises all the rights and obligations that, in accordance with applicable law, are assigned to the sole executive body of a legal entity. The employees of STBPT are subordinate to the Executive Director, as well as their direct managers in accordance with the policies of the STBPT and in accordance with their employment contracts. The Executive Director meets with Management employees not less than once a month.
The Executive Director is elected by the General Meeting for a period of five years with the right of re-election. Absentee voting can be organized through the website and/or social page of the STBPT when it is necessary to take decisions in the period between General Meetings.
The Executive Director reports to the General Meeting and the Advisory Board. The authority of the Executive Director includes the resolution of all issues that are not within the constitutional authorities of the General Meeting and the Advisory Board.
The authority of the Executive Director may be prematurely terminated in cases of a gross violation by the Executive Director of his/her duties, the inability to conduct business properly or for other serious reasons. The Advisory Board may present any violations or inabilities of the Executive Director in a notice to the General Meeting, who in turn may decide, with a majority of votes, to terminate the employment of the Executive Director. An extraordinary General Meeting shall be convened with participation of at least 50% of the Members either in person or virtually to hold the election.
Rights and responsibilities of the Executive Director
Communicate expectations—mission, strategy, policies—to the entire staff;
- Ensures the implementation of decisions of the General Meeting and the Advisory Board;
- Manages day-to-day operations and program implementation to fulfill the expectations;
- Employs, concludes labor contracts and dismisses employees of STBPT in accordance with applicable procedures and laws;
- Manages property, including cash, of STBPT and has the right to sign banking documents;
- Submits financial and program reports to the Advisory Board and to General Meeting;
- Takes decisions that are not related to the exclusive authority of the Advisory Board;
- Leads national advocacy activities;
- Oversees coordination, communication, administration and management of STBPT;
- Oversees the implementation of projects and ensures statutory reporting;
- Represents STBPT in various fora: within the scope of his/her authority, without a power of attorney, acts on behalf of the STBPT, represents it in relations with any legal and physical entities, authorities and administrations in Tajikistan and abroad;
- Fosters the staff members, evaluates their performance and promotes them to become potential candidates for the Executive Director position;
- Reports results of the program activities to the General Meeting and the Advisory Board.
